Service Terms – Data Design Thinking: Unlock Opportunity – Paid

Data Design Thinking (DDT) sessions are scheduled online, using the meeting link your host provided for an unlimited number of attendees. DDT sessions can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

DDT sessions require a minimum of 3 business days’ notice before scheduling in order for the host to adequately prepare the session materials.

DDT content will be delivered online, using a combination of Google Slides and Miro Whiteboards to bring the DDT process to life. GoToMeeting links are the preferred webinar medium, with Google Hangouts as a backup. Attendees are advised to download and test the connectivity to these applications before the session begins.

Each DDT is a single session lasts approximately 90 minutes. DDT sessions can be scheduled up to three months from the time the fee is paid, after which time the fee is forfeited.

The Fee is USD 3590 for the session, payable in advance, and inclusive of all expenses. The fee is non-refundable once paid. Reschedule a DDT 48 hours before the DDT starts without penalty.

Payment is via debit and credit cards (Amex, Visa and Mastercard).

Attendees are advised to arrange an internet connection of 10MPS or more, for both upload and download.

A set of earphones with a microphone pickup is required. A web camera to share video feed of yourself is recommended.

Attendees are permitted to record a screencast of the DDT using an application of their choice.

48 hours after a DDT, attendees will receive a customised Internal Press Release complete with instructions on how to apply the DDT Method in their organisation We will also share links to the session slides, access to the Excel valuation model highlighted during the DDT, and a video recording of the session on request.

Service Terms – Executive Education Experiences

Executive Education Experiences are scheduled online, using the meeting link your host provided, for up to 8 Executives. Experiences can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

Experiences have a 3-week Lead Time, during which time we will run discovery quizzes with the participants that will be used to customise the content delivered. Completion of the quizzes forms part of the Experience and the results are used to guide and improve the content delivered during and after the Experience.

The Experience is scheduled around the lunch hour, between 10am and 5pm. This provides us with a 90 minute lunch window, during which time your Executives can engage their Host via live chat. This serves to enhance the Experience and ensures questions can be addressed privately, in an intimate 1-1 basis.

The Experience can be scheduled up to 90 days from the time the fee is paid, after which time the fee is forfeited.

The fee is payable upon acceptance of the quote, in full, and inclusive of all pre-event preparation and engagement, and all post-event materials. Physical copies of core materials used during the Experience are also included, sent to your Executives for their ongoing learning. Fees are non-refundable once paid.

Experiences can be re-booked up to 48 hours before the session starts without penalty.

Payment is via Direct Bank Transfer.

Attendees who intend to participate in the session online are advised to arrange an internet connection of 10MPS or more, for both upload and download. A set of earphones with a microphone pickup is required. A web camera to share video feed of yourself is recommended.

The Workshop is held over GoToMeeting. To join, a link will be provided to the attendees to join the session upon Booking. The link can be shared with others who wish to join. It is recommended that participants test the meeting and download any software one day prior to the session in order to ensure seamless connectivity.

The Host will connect with your Executives via LinkedIn before the session, to establish a connection, share pre-event materials, and deliver the initial scoping quiz for session personalisation. LinkedIn messenger is used during the session lunch break to ask and answer any individual questions. Executives can ask further questions once the session has concluded, free of charge.

The session can be recorded using GoToMeeting, and Cognopia will do so on request. No editing or formatting of the video will be provided post event.

Executives are permitted to record a screencast of the session using an application of their choice.

Service Terms – Executive Lunch and Learn

Executive Lunch and Learn sessions are scheduled in person, at the Victoria Room of the Singapore Cricket Club, for up to 12 Executives. Lunch and Learn Sessions can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

Lunch and Learn sessions require a minimum 3-week lead time, to ensure we can book the event space and to provide flexibility to your Executive Team.

The Lunch and Learn can be scheduled between 11am and 3pm, and are 3 hours in duration (2.5 hours for the session, with a 30 minute buffer).

The Lunch and Learn can be scheduled up to 90 days from the time the fee is paid, after which time the fee is forfeited.

Lunch and Learn Sessions can be re-booked up to 48 hours before the session starts without penalty.

If the client needs to re-book within 48 hours of the session start date, a 50% session fee will be applied to cover costs. A credit note will be applied for the balance of the fee that can be used against a future Lunch and Learn booking.

The fee is payable upon acceptance of the quote, in full, and inclusive of all pre-event preparation and engagement, and all post-event materials. Physical copies of core materials used during the Experience are also included, sent to your Executives for their ongoing learning. Fees are non-refundable once paid.

Payment is via Direct Bank Transfer.

The Host will connect with your Executives via LinkedIn before the session, to establish a connection, share pre-event materials, and understand any requirement for session personalisation. Executives can ask further questions via LinkedIn messenger to the Host once the session has concluded, free of charge.

The session can be recorded, and Cognopia will do so on request. No editing or formatting of the video will be provided post event.

The Dress Code for the Lunch and Learn is Business Casual. Shirts (with collar), Jeans, and Shoes are acceptable attire for men.

Lunch menus will be provided ahead of the session. It is the client’s responsibility to provide details on any Food Allergies or Dietary Requirements. Clients that do not select a preferred lunch option will be provided with a meal selected for them. Menu confirmation must be made at least 5 banking days prior to the event day.

All soft drinks, teas and coffees are included in the price of the Executive Lunch and Learn.

Due to limited car park facilities, we are unable to accommodate any request for client parking at the event location. The nearest car park is at the National Gallery Singapore or Parliament of Singapore

Service Terms – Online Getting Started In Data Governance Training

Online Getting Started In Data Governance Training is delivered using a series of online training modules. Online Training can be scheduled and delivered at your convenience, 24*7

Any number of delegates can be booked for the Online Training.

We reserve the right to amend details of the content at any time before the services are delivered.

The fee is payable upon acceptance of the quote, in full, and inclusive of all online materials and all post-event materials. Fees are non-refundable once paid.

Payment is via Direct Bank Transfer.

Service Terms – Live, Online Getting Started In Data Governance Training

Live, Online Getting Started In Data Governance Training Sessions are delivered using a combination of Zoom calls and a series of online training modules. Live, Online Training Sessions can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

A minimum of 8 delegates are required to book the Training session. If the session is delivered as a Private course the maximum number of delegates will be 8, or as otherwise stated in your quotation.

If you are sending less than 8 delegates to the Training session you will need to wait for a full training cohort to book before you can confirm the Training dates.

Private Training courses require a minimum of 2 weeks notice to schedule the time with our Trainer.

Live, Online Training is scheduled between 2pm and 5:30pm Singapore Time. The delegates are expected to devote their entire time to the training materials during the Session. The Training is delivered across 2 separate consecutive days to cover the full course material

Training sessions can be scheduled up to 90 days from the time the fee is paid, after which time the fee is forfeited.

Private Live, Online Training can be re-booked up to 11 business days before the session starts without penalty. Rescheduling between 6 and 10 business days before the session starts will incur a 50% penalty. Rescheduling with less than 5 business days notice incurs a 100% penalty.

Public Live, Online Training cannot be re-booked. In the event your nominated delegate cannot attend, you may substitute an alternative delegate in their place.

We reserve the right to cancel and/or amend training session dates, times and details of the content at any time before the services are delivered by giving you at least 24 hours’ prior notice, where it is practical to do so. In any event, we will make every effort to give you as much notice as possible and offer you reasonable alternatives. If these are not satisfactory to you, we will give you a credit note for the fees for that session.

The fee is payable upon acceptance of the quote, in full, and inclusive of all pre-event preparation and engagement, and all post-event materials. Fees are non-refundable once paid.

Service Terms – Getting Started In Data Governance Training Workshop – In Person

Getting Started In Data Governance Training Workshops are scheduled in person, at either the client location or a dedicated training facility. Training Workshops can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

A maximum of 15 delegates can attend the Workshop, unless agreed otherwise and stated in your quotation.

In Person Workshops require a minimum 6-week lead time, to ensure we can book travel and accommodation for our Trainer and Host, who is brought in specifically to run the Workshop from the UK.

In Person Workshops are scheduled between 9am and 5pm. The delegates are expected to devote their entire time to the training materials during the Workshop.

The Workshop can be scheduled up to 90 days from the time the fee is paid, after which time the fee is forfeited.

Workshops can be re-booked up to 11 business days before the session starts without penalty. Rescheduling between 6 and 10 business days before the session starts will incur a 50% penalty. Rescheduling with less than 5 business days notice incurs a 100% penalty. And rescheduling that results in charges for changing Flight or Hotel bookings will incur the costs of those charges, which will be charged in addition to the penalty fees above.

We reserve the right to cancel and/or amend training or workshop session dates, times and details of the content at any time before the services are delivered by giving you at least 24 hours’ prior notice, where it is practical to do so. In any event, we will make every effort to give you as much notice as possible and offer you reasonable alternatives. The session cannot be recorded. For those that wish to have online access to Training Materials, a separate online Training Course is available for an additional fee.

Service Terms – Data Governance Strategy Workshop

Data Governance Strategy Workshops are scheduled in person or remotely using GoToMeeting, at either the client location or a dedicated offsite facility. Strategy Workshops can be scheduled during Business Hours, from Monday to Friday using the Singapore Public Holiday Calendar.

Workshops require a minimum 3-week lead time, to ensure we prepare adequately and to ensure you can arrange the necessary meeting schedule with Executives, Stakeholders and Subject Matter Experts

Workshops are scheduled between 9am and 6pm.

Workshops require a minimum of 5 days engagement. Longer engagements may be recommended.

Workshops are delivered by a combination of 2 Cognopia Data Governance Consultants. Where Change Management activities are necessary we will include a dedicated Change Management Consultant to join the team.

The Workshop will involve interviews of key Stakeholders. The Workshop proposal will specify the maximum number of stakeholders we will interview. It is the responsibility of the client to ensure Stakeholder are available for the interview, have read the pre-interview material and are prepared to fully address the interview topics. Any delay in the interview schedule will be the responsibility of the client and may cause an extension of the T&M workshop engagement.

The workshop outcome may include a high-level analysis of your EIM function, a review of your Strategic Direction, across key topics such as Data Lineage, Data Quality, Glossary and Stewardship, Approach Recommendations, Staffing Recommendations, Tactical and Strategic Data Governance Roadmap Recommendations and Supporting Technology Recommendations. We will aim to deliver “No Regrets” recommendations that can deliver immediate impact once the report is presented.

Where Change Management is included we will expand the deliverables to include items such as Change Impact Assessments, Stakeholder Analysis, a Change Readiness Assessment and a set of Change Mitigation Recommendations.

In the event you are running a Cognopia Data Due Diligence project, the exact deliverables and objectives will be discussed and included in the Cognopia Press Release FAQ template.

Workshops can be re-booked up to 11 business days before the session starts without penalty. Rescheduling between 6 and 10 business days before the session starts will incur a 50% penalty. And rescheduling that results in charges for changing Flight or Hotel bookings will incur the costs of those charges, which will be charged in addition to the penalty fees above.

The fee is payable within 30 days of our invoice, issued monthly in arrears. Fees are calculated on a Time and Materials basis inclusive of all pre-workshop preparation and engagement, and all post-workshop materials. Fees are non-refundable once paid. Late payment interest will be applied at a rate of 1.5% per month on any overdue invoices.

Credit Note Terms

Should you be issued a Credit Note for any service rebate from Cognopia, it is to be used in full within 90 days of issuance.

Credit Notes can be applied against any Cognopia Services, unless stated otherwise in the Credit Note itself.

Confidentiality

Each of the parties receiving information in connection with the services (the “Recipient”) agrees to take reasonable precautions to ensure that it does not disclose to any third party, any information that the disclosing party (the “Discloser”) identifies as confidential or which the Recipient could reasonably be expected to know that the Discloser would regard as confidential in nature about its business, plans, clients, customers, suppliers, products, services, know-how, methodologies and employees (the “Confidential Information”), unless the Recipient first obtains the Discloser’s consent. Both parties agree that any Confidential Information shall only be used for the purposes of providing or receiving Services

The Recipient’s obligations will not apply to information (including know-how) which: is or becomes generally available to the public, other than as a result of a breach of this Agreement; or is acquired from a third party without any confidentiality obligation to the Discloser that is known to the Recipient; or is or has been independently developed by the Recipient or was known to the Recipient prior to receipt (other than in relation to Services previously provided to you by us).

The Recipient will be entitled to disclose information to its respective insurers, legal or other professional advisers if necessary in connection with the services or to a third party to the extent that this is required by any court of competent jurisdiction or by a governmental or regulatory authority.

If Cognopia has entered into a dedicated confidentiality agreement with you, the client, then the terms and conditions held within that agreement supersede the terms on this page.

General Terms and Conditions

Cognopia provides the services in a professional manner with reasonable skill and care.  We will assign to the provision of the services personnel who, in our reasonable opinion, have appropriate experience to perform the tasks assigned to them.

Your fee may include costs for Travel and Expenses. Where this is the case, they will be clearly highlighted in the Quote, or agreed with you before booking. Travel and Expenses costs are charged at actual, with Flight bookings in Business Class and Hotels bookings in a reputable hotel of a reasonable Business Quality. A per diem rate will be agreed and quoted where appropriate, using industry standard rates.

All Quotes are provided in USD, unless otherwise stated.

Your name and/or logo may be used by Cognopia in Marketing communications, materials or other promotions. Should you wish to opt-out of this clause you may do so by providing written notice to Cognopia.

Cognopia holds Professional Indemnity Insurance and can provide a copy of the Insurance Certificate on request.

Cognopia will not be liable for any indirect or consequential loss, loss of profit (whether based on contract, tort (including negligence), statute or any other legal theory) or loss of revenue arising in connection with this agreement.

We reserve the right to employ sub-contractors and other third parties to assist us in providing any part of the services.  Any reference to us in these clauses includes our sub-contractors or other third parties engaged by us to assist in the provision of the services.  We will remain solely responsible to you for the provision of the services, subject to the terms on this page, which we reserve the right to amend from time-to-time. 

Neither party will employ or approach personnel (including sub-contractors) of the other party involved in the performance of the services with the intention of employing them within 12 months following the delivery of the services, without the written consent of the other party.

Any disputes under this agreement will be heard under Singapore Law, in the English Language.

Disclaimers

None of Cognopia, any of its affiliates, providers or their respective officers, directors, employees, agents, independent contractors or licensors (referred to collectively as the Cognopia Parties) guarantees the accuracy, adequacy, timeliness, reliability, completeness, or usefulness of any of the content and Cognopia disclaims liability for errors or omissions in the content.
